Our vendor terms are designed to ensure a fair and transparent partnership. They outline expectations, payment schedules, and dispute resolution processes, fostering trust and mutual benefit.
Full Vendor Terms and Conditions
1. Scope and Applicability
These Vendor Program Terms apply only to approved third-party vendors, suppliers, partners, or service providers that:
provide goods or services to OBN30, or
provide goods or services through coordination with OBN30, or
participate in a vendor, partner, or supplier program expressly approved by OBN30.
These terms do not apply to Net-30 customers, applicants, or businesses purchasing services from OBN30.
2. Vendor Approval and Eligibility
Participation as a Vendor is subject to prior approval by OBN30.
OBN30 reserves the right to:
approve or reject any vendor application at its sole discretion
request verification or documentation at any time
limit, suspend, or revoke vendor participation
Approval as a Vendor does not create any entitlement, exclusivity, or guarantee of continued engagement.
3. Vendor Responsibilities
Approved Vendors agree to:
provide accurate, complete, and timely information
fulfill all agreed-upon obligations in a professional and lawful manner
comply with all applicable federal, state, and local laws
maintain accurate records related to their services or deliverables
cooperate with reasonable compliance or verification requests
Vendors are solely responsible for the quality, legality, and performance of any goods or services they provide.
4. Payment Terms
If payment terms are agreed upon between OBN30 and a Vendor:
payment timing, method, and conditions will be defined in writing
invoices must be accurate and submitted according to agreed procedures
payment disputes must be raised promptly and in good faith
OBN30 is not obligated to extend credit or Net-30 terms to Vendors unless explicitly agreed in writing.
5. Intellectual Property
Unless otherwise agreed in writing:
Vendors retain ownership of their pre-existing intellectual property
Vendors grant OBN30 a non-exclusive, royalty-free, revocable license to use vendor materials solely for platform operations, marketing, or service delivery
Vendors may not use OBN30 branding, trademarks, or proprietary materials without prior written authorization
6. Confidentiality
Both OBN30 and Vendors agree to maintain the confidentiality of non-public, proprietary, or sensitive information exchanged during the course of their relationship.
Confidential information may not be disclosed except as required by law or with prior written consent.
7. Compliance and Risk Controls
Vendors acknowledge that OBN30 operates within a regulated commercial environment and agree to:
comply with OBN30 compliance standards
avoid conduct that creates legal, reputational, or operational risk
immediately report any suspected fraud, misuse, or security incident
Failure to comply may result in immediate termination.
8. Termination of Vendor Participation
OBN30 may terminate vendor participation at any time, with or without cause, including for:
breach of these Vendor Program Terms
violation of the OBN30 Terms of Service
non-performance or misconduct
reputational or compliance risk
Termination does not relieve a Vendor of obligations accrued prior to termination.
9. Limitation of Liability and Dispute Resolution
All limitations of liability, dispute resolution provisions, governing law, and arbitration requirements applicable to Vendors are governed by and incorporated from the OBN30 Terms of Service.
10. Amendments
OBN30 may update these Vendor Program Terms from time to time. Continued participation as a Vendor after changes are posted constitutes acceptance of the revised terms.

Acknowledgement
By participating in any OBN30 vendor, partner, or supplier program, you acknowledge that you have read, understood, and agree to be bound by these Vendor Program Terms and the OBN30 Terms of Service.
