OBN30 — Terms of Service (Master Agreement)

These Terms of Service (“Terms,” “Agreement”) constitute a legally binding contract between OBN30, a DBA of Obsidian Realm LLC (collectively “OBN30,” “Company,” “we,” “our,” or “us”), and any business entity or authorized representative (“Client,” “Customer,” “you,” or “your”) that accesses, uses, purchases, applies for Net-30 terms, or otherwise interacts with the OBN30 website, application pages, platform, services, products, or communications (collectively, the “Service”).

BY ACCESSING OR USING THE SERVICE, SUBMITTING AN APPLICATION, OR PURCHASING ANY PRODUCTS OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Introduction

 

Welcome to OBN30. These Terms govern your use of our website (https://obn30.com), application pages, customer portal, billing systems, communications, and all related services, products, or programs offered by OBN30.

“Service” includes, without limitation: Net-30 vendor credit programs, account services, membership tiers, verification workflows, reporting transmissions, customer dashboards, digital products, consulting or administrative services, billing and invoicing features, and related support.

“Net-30” refers to commercial invoicing terms where payment is due within 30 calendar days from invoice date, unless otherwise stated.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge you have read and understood them and agree to be bound.

If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing support@obn30.com so we can try to find a solution. These Terms apply to all visitors, users, and anyone who wishes to access or use the Service.

2. Commercial Use Only / Business Eligibility

 

OBN30 serves business entities only operating within the United States and U.S. territories. The Service is intended strictly for commercial use.

By using the Service, you represent and warrant that:

  • You are a legally formed business entity or an authorized business representative.

  • You are acting solely for business/commercial purposes.

  • You have full authority to bind the business to these Terms.

  • You are not seeking consumer credit, personal financing, or credit repair services.

OBN30 does not offer consumer credit, personal loans, or credit repair.

3. Incorporation by Reference

 

These Terms incorporate by reference all policies, disclosures, schedules, guidelines, and supplemental agreements made available by OBN30, including but not limited to:

  • Privacy Policy

  • Billing & Invoicing Policy

  • Net-30 Program Terms

  • Late Payment & Collections Policy

  • Credit Reporting Policy

  • Verification / KYC Policy

  • Data Retention Policy

  • Acceptable Use Policy

  • Any terms presented at checkout, on an invoice, in a portal, or in an approval notice.

All such policies are legally binding and form part of this Agreement.

4. Communications

 

By submitting an application, creating an account, or providing contact information, you agree to receive communications from OBN30, including:

  • Application status updates

  • Verification requests

  • Invoices and payment reminders

  • Past-due notices

  • Account and reporting updates

  • Operational or security notices

  • Program announcements

Marketing/Promotional Communications: Where required by law, you may opt out of marketing emails using the unsubscribe link or by contacting support.

System and Billing Communications: You may not opt out of critical operational communications, including invoicing, payment reminders, verification requests, and account notices. Message/data rates may apply for SMS.

5. Purchases

 

If you wish to purchase any products or services made available through OBN30 (“Purchase”), you may be asked to supply certain information relevant to your Purchase, including your business name, credit card details, billing address, and shipping information.

You represent and warrant that: (i) you have the legal right to use any payment method(s) in connection with any Purchase; and (ii) the information you supply is true, correct, and complete.

We may employ third-party services for payment processing. By submitting your information, you grant us the right to provide it to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product/service availability, errors in description or price, error in your order, suspected fraud, transaction dispute, or hostility towards our employees or partners.

6. Contests, Sweepstakes, Loyalty Benefits, and Promotions

 

Any contests, sweepstakes, rewards, or other promotions (“Promotions”) made available through the Service may be governed by separate rules. If you participate, please review the applicable rules as well as our Privacy Policy. If Promotion rules conflict with these Terms, these Terms will govern.

Loyalty Program Benefits are offered at OBN30’s discretion. These benefits vary and change and are not a guaranteed part of any subscription or service. The customer has no right or claim to any service, content, or access to products/services offered by OBN30 or partners.

Additional rewards may be denied if a customer has late payments, outstanding balances, is uncollectible, or unresponsive in OBN30’s sole discretion.

7. Subscriptions & Net-30 Terms

 

Some parts of the Service are billed on a subscription basis (“Subscription”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles may be set monthly or annually, depending on your selected plan.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you or OBN30 explicitly cancel it.

A valid payment method is required to process payment for your subscription. You shall provide OBN30 with accurate and complete billing information. By submitting payment information, you automatically authorize OBN30 to charge all Subscription fees incurred.

Net-30 Invoicing: OBN30 allows access to its Service on a NET30 basis. NET30 is an extension of credit by OBN30 to you for immediate access to the Service. OBN30 will invoice you monthly, and you are required to manually submit payments by the due date.

8. Applications, Accounts, and Customer Responsibility

 

When you submit an application or create an account, you agree that:

  • All information provided must be accurate, complete, and current.

  • You are responsible for updating information that changes.

  • Inaccurate information may result in denial, suspension, cancellation, incorrect reporting, or collections.

OBN30 may refuse service, deny applications, terminate accounts, or cancel orders at our discretion.

You are responsible for maintaining the confidentiality of your account and password and for all activities under your account. You must notify us immediately of any unauthorized use.

9. Fee Changes

 

OBN30, in its sole discretion, may modify Subscription or Net-30 fees. Any fee change will become effective at the end of the then-current Billing Cycle. OBN30 will provide reasonable prior notice of any change. Your continued use after changes constitutes agreement to pay the modified amount.

10. Cancellation

 

You may cancel your Subscription at any time. The effective date of cancellation for Monthly Plans takes effect on the following billing cycle. For Annual Plans, cancellation takes effect at the end of the current annual term.

At the time of cancellation, all open and outstanding invoices remain due. Canceling does not eliminate liability for issued invoices. Invoices may not be canceled, as OBN30 must maintain accurate records.

11. Refunds

 

OBN30 does not issue refunds for Subscriptions that have already entered the billing cycle or for services already rendered. If you cancel, services and fees are still due for the current term.

Net-30 accounts are an extension of credit for services rendered. There are no refunds for Net-30 accounts. Any additional benefits are not promises of an outcome.

12. Verification Requirements; KYC/AML

 

OBN30 may require verification at any time, including but not limited to:

  • EIN confirmation

  • Secretary of State records

  • DUNS validation

  • Proof of address

  • Articles of organization/incorporation

  • Owner/officer identity verification

  • Beneficial ownership information

Failure to provide requested verification may result in denial, suspension, termination, or refusal to report.

13. Credit Reporting; No Guarantee

 

OBN30 may transmit account and payment data to commercial bureaus including Dun & Bradstreet, Experian Business, Equifax Commercial, and others.

Important: No Guarantees. OBN30 does not guarantee:

  • Approval for credit terms

  • Bureau acceptance of a tradeline

  • Timing of reporting

  • Posting timelines

  • Scoring outcomes

  • Effect on any credit score or profile

Bureaus may delay, reject, or modify data at their discretion.

14. Data Reporting Consent

 

By using the Service, you explicitly authorize OBN30 to report (where applicable):

  • Account status

  • Payment history

  • Invoice performance

  • Credit limits

  • Late payments and derogatory events

  • Collections or default activity

This consent survives termination to complete accurate reporting.

15. Late Payments; Fees; Suspension

 

Late payments may result in:

  • Late fees up to 15% of the invoice amount (or maximum permitted by law)

  • Interest up to 1.5% per month (or maximum permitted by law)

  • Account suspension or termination

  • Reduced credit limits

  • Collections activity and reporting

  • Legal action

OBN30 may take commercially reasonable actions to collect amounts owed.

16. Chargeback Policy (Strict)

 

All transactions are commercial. Initiating a chargeback for a valid commercial invoice may constitute:

  • Breach of these Terms

  • Account closure

  • Denial of future services

  • Collections activity and reporting

  • Legal recovery actions

If you believe an invoice is in error, you must notify OBN30 promptly via support@obn30.com.

17. Prohibited Uses

 

You may not use the Service:

  • For unlawful purposes

  • To impersonate any person or entity

  • To submit false information

  • To interfere with the Service or attempt unauthorized access

  • To transmit malware

  • To harass, threaten, or abuse OBN30 staff or partners

  • To damage OBN30’s reputation

OBN30 may investigate violations and take appropriate action.

18. Intellectual Property

 

The Service, content, designs, branding, trademarks, and all related intellectual property are owned by OBN30 and/or licensors. You may not copy, distribute, reverse engineer, or exploit without prior written consent.

19. Disclaimer of Warranty

 

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” OBN30 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OBN30 DOES NOT WARRANT ERROR-FREE, UNINTERRUPTED SERVICE OR BUREAU ACCEPTANCE.

20. Limitation of Liability

 

TO THE FULLEST EXTENT PERMITTED BY LAW, OBN30 SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES. TO THE EXTENT LIABILITY IS FOUND, OBN30’S MAXIMUM LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT IN THE PRIOR 12 MONTHS.

21. Indemnification

 

You agree to indemnify OBN30, its officers, members, employees, and agents from claims, liabilities, damages, and expenses arising from your use, violation of these Terms, false submissions, breach of payment, or infringement of third-party rights.

22. Termination

 

OBN30 may terminate or suspend your account immediately, without notice, for any reason, including fraud, abuse, non-payment, or risk. Termination does not eliminate liability for outstanding invoices.

23. Governing Law; Venue; Dispute Resolution

 

These Terms are governed by Wyoming law. Venue for any dispute not subject to arbitration shall be Sheridan County, Wyoming.

24. Mandatory Arbitration; Class Action Waiver

 

Any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under the Federal Arbitration Act, on an individual basis. YOU WAIVE THE RIGHT TO A JURY TRIAL AND CLASS ACTION.

25. Electronic Signatures

 

This Agreement is an electronic contract. You indicate acceptance by submitting an application, checking agreement boxes, providing a digital signature, or using the Service after publication. Electronic records and signatures have the same legal effect.

26. Severability; Waiver

 

If any provision is held invalid, the remainder remains in effect. Failure to enforce any provision is not a waiver.

27. Entire Agreement; Updates

 

These Terms, with incorporated policies, constitute the entire agreement. OBN30 may update these Terms by posting an updated version. Continued use constitutes acceptance.

BY USING THE SERVICE OR SUBMITTING AN APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
